본 강좌는 회사법 1의 수업 내용을 기초로 하여 주식회사를 중심으로 진행된다. 구체적으로 ⅰ) 주식회사의 기관과 관련하여 주주총회, 이사회, 대표이사, 감사 등을 살펴보고, ⅱ) 주식회사의 자본금과 관련 하여 유상증자, 신주발행, 자본금감소 등에 관하여 고찰하는 것을 목적으로 한다. 또한 본 강좌에서는 ⅲ) 주식회사의 회계와 관련하여 준비금, 준비금의 자본전입, 사채 등을 살펴보고, 그밖에 ⅳ) 회사의 조직변경과 관련하여 회사의 합병, 회사의 분할, 주식의 교환 및 이전 등을 고찰하는 것을 목적으로 한다.

This lecture is based on the contents of the Company Law 1 class. Specifically this class aims to study ⅰ) general shareholders' meeting, board of directors, representative director, auditor In relation to the organization of the stock company, and aims to study ⅱ) issuance of new stocks, reduction of capital in relation to the capital of the stock company. And this class aims to study ⅲ) reserves, financial statements, profit allocation, stocks allocation, grant of profit, bond in relation to the account of the stock company, and aims to study ⅳ) merger of companies, division of company, exchange and transfer of shares in lation to the reorganization of the stock company.
